Queer Calendar Terms of Service

1. INTRODUCTION

These Terms of Service ("Terms") are a legally binding agreement between you and Queer Calendar LLC ("Queer Calendar," "we," "us," or "our"). Our Platform provides event discovery, promotion, ticketing services, performer profiles, and LGBTQ+ brand deals.

By using our Platform, you:

  • Agree to these Terms
  • Acknowledge our Privacy Policy
  • Confirm you are at least 18 years old
  • If representing an entity, confirm you have the authority to bind it

Definitions

  • "User": Anyone using the Platform
  • "Event Host": Anyone publishing events
  • "Performer": Anyone with a performer profile
  • "Brand": Anyone offering deals
  • "Platform Content": All content created, owned, or licensed by Queer Calendar
  • "Feedback": Suggestions, ideas, or input submitted by users regarding improvements to the Platform

1.1 Electronic Agreement

Clicking "I Agree," registering, or using our Platform creates a legally binding contract. You consent to receive communications from us electronically (such as notices, disclosures, and agreements) and waive any rights requiring paper delivery.

1.2 Age Requirements

You must be at least 18 years old to use our Platform. If we discover a user is under 18, we will immediately terminate their account.

2. USER RIGHTS AND RESPONSIBILITIES

2.1 Platform License

We grant you a non-exclusive, revocable right to use our Platform for its intended purposes.

2.2 Account Security

You are responsible for:

  • Protecting your login credentials
  • All activity under your account
  • Providing accurate information
  • Updating your information when it changes

3. EVENT HOST, PERFORMER, AND BRAND RIGHTS

3.1 Platform Access

Verified users may:

  • Create and manage profiles and listings
  • Sell tickets and collect proceeds (Event Hosts)
  • Promote performances and events (Performers)
  • Offer deals and promotions (Brands)

3.2 Profile Requirements

You must:

  • Create an accurate profile
  • Provide information for identity verification
  • Maintain up-to-date information
  • Only post content you have the right to represent

3.3 Third-Party Content and Intellectual Property

3.3.1 Implied License for Event Content

By listing events on our Platform, whether through direct submission, third-party integration, or our discovery of publicly available event information, event hosts and organizers grant us a limited, non-exclusive, revocable, royalty-free license to:

  • Display event logos, promotional images, and descriptive content
  • Use such materials solely for the purpose of promoting and listing their events on our Platform
  • Modify formatting and sizing as necessary for platform display

3.3.2 Good Faith Usage

We make reasonable efforts to:

  • Accurately represent event information and associated imagery
  • Respect intellectual property rights of content creators
  • Use third-party materials only in connection with promoting the associated events

3.3.3 Content Removal and Claims

Event hosts, copyright holders, or authorized representatives may contact us at any time to:

  • Claim ownership of event listings
  • Request edits to event information or imagery
  • Remove listings or associated content
  • Report copyright concerns

We will respond promptly to legitimate requests and maintain a standard DMCA takedown procedure for copyright disputes.

3.3.4 User-Generated Content

Users who submit event information represent and warrant that they have the right to grant the licenses described above or that their use constitutes fair use under applicable copyright law.

3.4 Discovered Events

We may list events from public sources. Event Hosts may contact us to claim, edit, or remove these listings at any time. We make no warranties about the accuracy of discovered events and are not responsible for any errors or omissions.

4. ADDITIONAL TERMS AND AGREEMENTS

4.1 Document Hierarchy

These Terms of Service govern general use of our Platform. Additional terms apply to specific activities as outlined below. In case of conflict between these general Terms and specific additional terms, the additional terms shall control for that particular activity.

4.2 Event Host Additional Requirements

If you list events on our Platform as an Event Host, you are also subject to:

  • Data Processing Agreement (DPA): By becoming an Event Host, you automatically accept our Data Processing Agreement, which governs how we handle personal data when you act as Data Controller for ticket sales. The current DPA is available at our DPA page and is incorporated herein by reference.
  • Enhanced liability and content requirements as specified in Section 5 below.

4.3 Ticket Purchase Terms

If you purchase tickets through our Platform, your purchase is governed by our Ticketing Terms and Conditions in addition to these general Terms. By completing any ticket purchase, you acknowledge that you have read and agree to be bound by our Ticketing Terms, available at our Ticketing Terms page and incorporated herein by reference.

4.4 Agreement Updates

We may update the DPA or Ticketing Terms independently of these general Terms. Continued use of relevant Platform features constitutes acceptance of updated terms.

5. EVENT HOST ADDITIONAL OBLIGATIONS

5.1 Data Controller Responsibilities

When acting as an Event Host, you acknowledge that:

  • You are the Data Controller for personal data collected during ticket sales
  • Queer Calendar LLC acts as your Data Processor as governed by our Data Processing Agreement
  • You are responsible for compliance with applicable data protection laws (GDPR, CCPA, etc.)
  • You must have a lawful basis for processing ticket purchaser data

5.2 Event Host Warranties

Event Hosts represent and warrant that they:

  • Have authority to offer tickets for their events
  • Will honor all ticket sales made through the Platform
  • Will comply with applicable laws and venue requirements
  • Have appropriate insurance coverage for their events
  • Will provide accurate event information and timely updates

5.3 Refund Policy Requirements

Event Hosts must:

  • Clearly state their refund policy before ticket sales begin
  • Honor stated refund policies
  • Process approved refunds within the timeframes specified in our Ticketing Terms
  • Notify us immediately of event cancellations or significant changes

5.4 Event Host Indemnification

Event Hosts agree to indemnify and hold harmless Queer Calendar LLC from claims arising from:

  • The Event Host's breach of data protection obligations
  • Event content, execution, or cancellation
  • Violations of the Event Host's stated terms or policies
  • Third-party claims related to the event itself

6. ACCEPTABLE USE AND VERIFICATION

6.1 Account Verification

To list events, performances, or deals, you must have a verified account with accurate contact information. We may request additional verification before approving your content.

6.2 Prohibited Activities

You may not:

  • Use the Platform for any illegal purpose
  • Upload harmful content or malware
  • Infringe others' intellectual property rights
  • Post hateful, discriminatory, or violent content
  • Hack or gain unauthorized access
  • Scrape or crawl our data without permission
  • Impersonate others
  • Harass users or staff

6.3 Content Standards

All content must be accurate, legal, and appropriate. We reserve the right to remove content that violates these standards or for any reason at our sole discretion.

7. TICKETS AND PAYMENTS

7.1 Ticketing Relationship

Users enter into a direct agreement with the Event Host when purchasing tickets. Queer Calendar is not a party to that transaction unless we organize the event.

7.2 Payment Processing

  • We currently use Stripe Connect but may change providers
  • Platform fees apply and may be updated with notice
  • Payments flow directly from Users to Event Hosts
  • Stripe charges separate processing fees
  • All fees are shown at checkout

7.3 Geographic Availability

  • Paid ticketing is available for U.S. events
  • Free events can be listed worldwide
  • Non-U.S. events may use external ticketing

7.4 Refund Policy

  • Refunds are handled between Event Hosts and Users
  • Hosts must post a clear refund policy
  • Platform fees are non-refundable
  • We do not mediate disputes

7.5 Taxes

Event Hosts are solely responsible for determining, collecting, reporting, and remitting any applicable federal, state, local, or foreign taxes arising from their events, including but not limited to sales tax, admissions tax, VAT, or similar taxes. Queer Calendar does not calculate or remit taxes on behalf of Event Hosts unless required by applicable law.

8. CONTENT POLICIES

8.1 Content Moderation

  • Listings are live immediately
  • We don't pre-screen content
  • We may edit or remove content
  • Listings include a "Report" button

8.2 LGBTQ+ Deals Requirements

Deals must:

  • Include a discount or benefit
  • Provide a direct benefit to LGBTQ+ people
  • Or be from queer-owned or queer-affirming Brands

9. INTELLECTUAL PROPERTY

9.1 Ownership

  • We own Platform Content (excluding your content)
  • You own your content
  • Queer Calendar™ is our trademark

9.2 License to Your Content

You grant us a worldwide, royalty-free license to use, display, distribute, and create derivative works of your content for Platform purposes.

9.3 DMCA and Copyright

Email [email protected] if your work has been used without permission. Include:

  • Description of the copyrighted work
  • URL of infringing material
  • Your contact info
  • Good-faith statement that the use is unauthorized

10. DMCA COMPLIANCE AND INTELLECTUAL PROPERTY

10.1 Copyright Infringement Claims

If you believe content on our Platform infringes your copyright, please send a takedown notice to [email protected] including:

  • Your physical or electronic signature
  • Identification of the copyrighted work claimed to be infringed
  • Identification of the infringing material and its location on our Platform
  • Your contact information
  • A statement that you have a good faith belief that use is not authorized
  • A statement that the information is accurate and you are authorized to act

10.2 Counter-Notices

Users whose content is removed may submit counter-notices if they believe removal was in error.

10.3 Repeat Infringer Policy

We may terminate accounts of users who are repeat copyright infringers.

11. LEGAL PROTECTION

11.1 Disclaimers

Platform is provided "AS IS" with no warranties.

11.2 Limitation of Liability

We are not liable beyond $100 or what you paid us in the last 12 months.

11.3 Indemnification

You agree to hold us harmless from claims due to:

  • Your use of the Platform
  • Violation of Terms
  • Your content
  • Violation of others' rights

11.4 Privacy

We follow our Privacy Policy.

11.5 Assumption of Risks

By attending events, you accept all risks.

11.6 Beta Services

Beta features may be unstable and are excluded from arbitration.

11.7 Force Majeure

We're not liable for delays due to events beyond our control.

11.8 Content Disclaimer

We do not guarantee the safety, legality, or accuracy of listings.

12. PLATFORM OPERATIONS

12.1 Termination

We may suspend or delete your account anytime. You should export your content before termination.

12.2 Changes to Terms

We may update these Terms with 30 days' notice.

12.3 Service Modifications

We may change or end services at any time.

12.4 Third-Party Links

We're not responsible for external links or content.

13. DISPUTE RESOLUTION

13.1 Governing Law

These Terms are governed by California law.

13.2 Arbitration

Disputes must be resolved through binding arbitration under AAA rules. Exceptions include small claims under $5,000 and IP issues. You waive rights to class actions. Opt out within 30 days by emailing [email protected] or sending a notice to:

Parties must attempt good-faith resolution for 60 days before arbitration.

14. ADDITIONAL PROVISIONS

  • 14.1 Severability: If any provision is invalid, the rest remains.
  • 14.2 Entire Agreement: These Terms are the entire agreement.
  • 14.3 Waiver: Our failure to enforce is not a waiver.
  • 14.4 Assignment: You can't assign rights without consent.
  • 14.5 Export Controls: You may not use the Platform in violation of U.S. export laws.
  • 14.6 International Users: You're responsible for local law compliance.
  • 14.7 API/Scraping Protection: Scraping is prohibited without permission.
  • 14.8 Survival: Sections 9, 11, 13, 14 survive termination.
